Terms and conditions

These terms govern access to and use of Definite. By using the service you agree to them on behalf of your institution.

The service

Definite reads data you connect, runs the calculations, matching, and checks configured for your workflows, records the result of every check, and assembles work products and supporting evidence from figures that passed.

Our access to your systems

  • Access is read-only. We cannot write to your core, ledger, or loan system.
  • We cannot initiate a payment or move funds.
  • If a feed is missing or stale, the affected checks return Cannot verify and the dependent lines are held.

Your responsibilities

  • Provide accurate data and keep your connections current.
  • Review the drafts, explanations, and figures Definite produces before relying on them.
  • Keep credentials secure and manage who on your team has access.

Review and responsibility for filings

Definite produces checks, explanations, and assembled filings. It does not sign, submit, or take responsibility for a regulatory filing on your behalf.

Your institution remains responsible for what it files and for the judgements behind it. Nothing produced by Definite is legal, accounting, tax, or regulatory advice.

Availability

We aim to keep the service available and will give reasonable notice of planned maintenance. Where a specific availability commitment applies, it is set out in your written agreement with us.

Fees

Fees, billing period, and renewal terms are set out in your order form or written agreement. Unless that document says otherwise, fees are payable in advance and are not refundable for a partial period.

Intellectual property

We retain all rights in the Definite software, rule implementations, and documentation. You retain all rights in your institution's data. Nothing here transfers ownership either way.

Limitation of liability

To the extent permitted by law, neither party is liable for indirect or consequential loss. Any liability cap that applies is set out in your written agreement.

Termination

Either party may terminate as set out in the written agreement. On termination we will make your data and evidence record available for export for the period agreed, then delete it in line with the privacy policy.

Changes

We may update these terms. Where a change is material we will give notice before it takes effect.
